1. Introduction
These Terms of Service ("Terms") govern your access to and use of the SEO Crawler platform ("Platform"), operated by New Horizon Code Pty Ltd ("we", "us", "our"). By creating an account, authenticating a domain, initiating a crawl, or accessing any part of the Platform, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
2. Definitions
- "Crawl Data" means all technical information retrieved from a domain you authenticate, including HTML, metadata, links, redirects, header responses, SEO attributes, and publicly accessible structured content.
- "Domain Authentication" means the process used to verify that you own or control a domain before crawling is enabled.
- "Personal Information" has the meaning given under the Privacy Act 1988 (Cth).
- "Services" means all features and functionality provided through the Platform, including crawling, scraping, analytics, reporting, AI summaries, and automated scans.
- "User" means any individual authorised by you to access and use the Platform.
- "You" / "Your" means the Client organisation or individual holding an SEO Crawler account.
3. Account Access, Users & Responsibility
By using the Platform, you represent and warrant that:
- You are legally authorised to act on behalf of the domain(s) you authenticate
- You have full authority to allow the Platform to crawl, scan, or scrape your domain
- You are responsible for the actions of all Users under your account
- All Users will comply with these Terms and applicable laws
- You will ensure all data submitted is lawful and non-infringing
- You will maintain the confidentiality of login credentials
You assume full responsibility for:
- The legality of crawling your domains
- Any Crawl Data generated through your use of the Platform
- User activity, including unauthorised or negligent actions
We may suspend or revoke access where misuse, unauthorised activity, or breaches are identified.
4. Domain Authentication & Crawl Permissions
SEO Crawler only crawls domains that you verify as owned or controlled by you. You must not:
- Attempt to crawl third-party domains without authorisation
- Use the Platform for competitive scraping, data harvesting, or unauthorised data retrieval
- Circumvent access controls or robots.txt rules unless you legally control the domain and have permission to override them
You are solely responsible for ensuring that crawling your domain complies with:
- Your internal policies
- All applicable legal, contractual, and privacy obligations
- Industry regulations regarding automated scanning
You indemnify us against any claim arising from your crawling of a domain.
5. Acceptable Use Restrictions
You must not:
- Interfere with or disrupt the Platform
- Use the Platform for unlawful or harmful purposes
- Attempt to reverse-engineer, decompile, or extract source code
- Access or crawl domains without proper authority
- Use the Platform to train external AI models
- Exceed rate limits or otherwise burden our infrastructure
- Share Platform access with unauthorised parties
We may restrict your usage to preserve system stability and protect infrastructure.
6. Subscription Plans & Payment
SEO Crawler is provided on a subscription basis. Plan limits may include:
- Number of domains
- Crawl depth
- URLs per crawl
- Daily crawl quota
- Automated or scheduled scans
- AI summary limits
Failure to pay applicable fees may result in the suspension or termination of access.
All fees are non-refundable unless required by Australian consumer law.
7. Intellectual Property
All intellectual property in the Platform—including code, design, documentation, and analytical structures—is owned by New Horizon Code Pty Ltd.
You retain ownership of:
- Your authenticated domains
- Your account data
- Any Crawl Data generated from your own websites
By using the Platform, you grant us a limited, non-exclusive licence to host, process, analyse, and store Crawl Data solely for the purposes of:
- Providing and improving the Services
- Generating reports, analytics, and AI outputs
- Operating and securing the Platform
We never claim ownership over your website content.
8. AI Tools & Automated Analysis
Some plans include AI-powered features ("AI Tools"), such as:
- AI Summaries
- AI Link Suggestions
- AI Issue Prioritisation
You acknowledge that:
- AI outputs may contain errors, inaccuracies, or omissions
- AI Tools are for informational purposes only
- AI outputs must not be relied upon as legal, technical, or professional advice
- You are solely responsible for reviewing AI outputs before taking action
We do not use your Crawl Data to train external AI providers.
9. Privacy & Data Handling
Use of the Platform is governed by our Privacy Policy. By using SEO Crawler, you consent to the collection, storage, and processing of your data in accordance with that Policy.
10. Security, Maintenance & Availability
We implement strict security measures; however:
- We do not guarantee uninterrupted access to the Platform
- Scheduled and emergency maintenance may occur without notice
- We may throttle or restrict usage to protect system stability
- We do not guarantee the accuracy of Crawl Data or reports
You acknowledge that automated crawling inherently carries risks, including rate limiting, temporary IP blocks, or access restrictions imposed by your hosting provider.
11. Termination
We may suspend or terminate access—immediately and without notice—if:
- You breach these Terms
- You fail to pay subscription fees
- You misuse crawling or scraping features
- Your activity poses a legal or technical risk
- We are required to comply with court orders or regulatory instructions
Upon termination:
- Your account access will be disabled
- Crawl Data may be retained or deleted per our Data Retention Policy
- You may request a copy of your data before deletion, subject to verification
We are not liable for losses arising from termination of access.
12. Limitation of Liability
To the fullest extent permitted by law:
- We exclude all implied warranties
- We are not liable for indirect, incidental, special, punitive, or consequential loss
- We are not liable for loss of data, revenue, profits, or business opportunities
- Our total aggregate liability is limited to the lesser of:
- (a) 12 months of subscription fees paid, or
- (b) AUD $5,000
Nothing in these Terms excludes your rights under the Australian Consumer Law.
13. Indemnity
You agree to indemnify and hold harmless New Horizon Code Pty Ltd from any claim, loss, liability, damage, cost, or expense arising from:
- Your unauthorised crawling or scraping
- Your breach of these Terms
- Misuse of the Platform by you or your Users
- Any infringement of a third party's rights
- Any unlawful or improper use of Crawl Data
This indemnity survives termination.
14. Third-Party Links & Integrations
The Platform may contain links or integrations with third-party services. We do not control or endorse third-party systems and are not responsible for:
- Their content
- Their availability
- Their terms or policies
Use of such services is at your own risk.
15. Feedback
By submitting feedback, suggestions, or ideas, you grant us an irrevocable, royalty-free licence to use and incorporate such feedback without obligation.
16. Modifications to Terms
We may update these Terms at any time. Changes take effect upon publication on the Platform.
Your continued use of the Platform constitutes acceptance of updated Terms.
17. Dispute Resolution
- A party claiming a dispute must issue a Dispute Notice.
- Parties must attempt to resolve the dispute in good faith within 7 days.
- If unresolved, the dispute will be referred to mediation via the Resolution Institute.
- Mediation will occur in Queensland unless otherwise agreed.
- If still unresolved after mediation, either party may commence legal proceedings.
18. Governing Law
These Terms are governed by the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of its courts.
